Activist investor Nelson Peltz is stating his case for joining Disney 's board. The proxy battle comes as Iger tries to streamline the sprawling media company to rein in spending and make its Disney+ streaming platform profitable. Peltz reiterated in a CNBC "Squawk Box" interview Thursday morning that he believes Disney's current board oversight is "awful." Peltz and Rasulo aim to execute a clear vision for the brand's theme parks, targeting "high-single digit operating income growth," according to the filing. Peltz told CNBC on Thursday that he paid a visit to Disney World last week.

It found the board was "inverted to serve Disney," which held voting control of the prior board of supervisors. The Central Florida Oversight Board will meet Wednesday to vote whether to accept the report, which was prepared for the board by a group of experts. In what Disney described as retaliation, the Florida legislature in February replaced the old board with a new Central Florida Oversight District, whose five supervisors are handpicked by DeSantis. In April, Disney sued Florida in federal court, claiming DeSantis and his allies of "weaponizing" state government to punish Disney for exercising its free speech rights. The DeSantis-appointed oversight board counter-sued in state court, seeking to void the "backroom deals" favorable to the entertainment giant.

However, in the wake of the Covid pandemic, the box office has struggled to regain its foothold on the Thanksgiving holiday. "Thanksgiving films in this movie marketplace must rely more heavily on December moviegoing to determine their ultimate box office fate." Box office analysts often disregard 2020's $21.4 million Thanksgiving haul, as few theaters were open and there were few films to watch. Not to mention, box office expectations have not been particularly accurate this year. CNN —Disney has a mess on its hands to marvel at. The embarrassingly weak debut marked the worst opening for any Marvel Studios film in its history. But, in recent years, the Marvel Cinematic Universe has started to show serious signs of trouble. Those films — all of which were released after “Endgame” — are the four worst-reviewed films in Marvel history, according to Rotten Tomatoes averages. And the movies failed to earn an A-rating from CinemaScore, a feat almost all Marvel films easily accomplished, signaling deeper troubles with audience reception and crushing word-of-mouth.

CNN —Disney will acquire Comcast’s one-third stake in Hulu for an expected $8.61 billion, the company said Wednesday, in a deal that will put the streaming service entirely inside the Magic Kingdom when the transaction closes later this year. “The acquisition of Comcast’s stake in Hulu at fair market value will further Disney’s streaming objectives,” the company said in a short statement. Disney’s bid to acquire the remaining shares in the platform began in 2019 under an agreement between the two companies that gave Hulu a value of at least $27.5 billion. In 2020, NBCU launched its own subscription-based streaming platform, Peacock, and Comcast began shifting programming from Hulu onto the new platform, including Bravo and NBC shows. Disney has also bundled the Hulu service as part of its larger portfolio of streaming services, including Disney+ and ESPN+, offering it at a discounted rate as part of the larger package.

REUTERS/Octavio Jones Acquire Licensing RightsSept 20 (Reuters) - Walt Disney's (DIS.N) $60 billion spending plan on parks and cruises to stay ahead of growing competition has worried some Wall Street analysts with its long road to payoff. "Expanding parks and cruises tends to be a multi year undertaking as a result of which, revenue and margin acceleration lags the investment cycle," Barclays analysts said. The bump in parks spending also follows a quiet period for the business during the pandemic in 2020 and 2021, when the spread of COVID-19 forced park closures and hit attendance. That led Needham analysts to warn Disney could be basing its decision on "unsustainable and elevated profit margins."

Acquire Licensing RightsNEW YORK, Sept 20 (Reuters Breakingviews) - Bob Iger can’t get off the roller coaster. Walt Disney’s (DIS.N) chief executive plans to double the Magic Kingdom’s investment in theme parks and other experiences to $60 billion over the course of about 10 years. On the other, Disney’s dwindling cash and the increasing demands for it is cause for concern. One issue is that Disney’s free cash flow has plummeted. No wonder adding theme parks to the list is making shareholders skittish.

It was pretty much the only way to watch “Gunsmoke” or “Howdy Doody” until cable networks arrived in force in the 1980s, bundled together for a monthly subscription fee. For Disney, ABC represented a watershed moment. Look deeper and the big broadcasters attracted only one in five viewers, while one in three watched cable networks. The TV group, excluding cable networks such as Fox News, generated an EBITDA margin of nearly 12% for the year ending June 30.
